Article Galaxy TDM/AI Rights Terms

Effective October 15, 2026

If Customer acquires TDM/AI Rights for any Content Item through the Article Galaxy Platform, these Article Galaxy TDM/AI Rights Terms (the "TDM/AI Rights Terms") are incorporated into and made part of the Service and Subscription Agreement (the "Agreement") between Reprints Desk, Inc. ("RS") and Customer, and govern Customer's and its authorized users' use of each Licensed Content Item. Capitalized terms not defined in these TDM/AI Rights Terms have the meanings given to them in the General Terms & Conditions.

1. TDM/AI Rights

1.1 Nature of TDM/AI Rights. TDM/AI Rights are granted by the applicable publisher or other rights holder. At Customer's direction, RS acquires TDM/AI Rights on Customer's behalf for each Content Item that Customer selects, and makes those rights available to Customer on the terms set out below. TDM/AI Rights apply only to a Content Item that Customer has purchased through the Article Galaxy Services (a rental does not qualify unless upgraded to a purchase) and for which Customer has acquired TDM/AI Rights and paid the applicable fees (each, a "Licensed Content Item"). TDM/AI Rights are non-exclusive, non-transferable, and non-sublicensable, and are subject to any publisher-specific terms displayed at the time of acquisition, which prevail over these TDM/AI Rights Terms to the extent of any conflict.

1.2 Permitted Use. Subject to the Agreement and these TDM/AI Rights Terms, Customer may use Licensed Content Items as follows:

(a) Analysis. Customer may use Text and Data Mining, Natural Language Processing, and Pre-Trained Artificial Intelligence Models to identify, extract, analyze, and summarize data from Licensed Content Items, provided that:

(i) no data identified, extracted, analyzed, or summarized from any Licensed Content Item is used to train, fine-tune, or otherwise improve any Pre-Trained Artificial Intelligence Model or other machine learning or artificial intelligence model; and

(ii) no Licensed Content Item, and no data processed from it, is permanently saved or stored by or within any such model.

(b) Extraction. Customer may extract Entities, Snippets, and insights from Licensed Content Items for internal purposes, provided that:

(i) Attribution: each extracted Entity, Snippet, or insight is clearly attributed to the Licensed Content Item from which it was extracted, including a citation and the Digital Object Identifier (DOI) of that Licensed Content Item;

(ii) Internal use: extracted Entities, Snippets, and insights are used solely by Customer's authorized users for internal purposes within Customer's organization; and

(iii) Compliance with law: all such use complies with applicable laws and regulations, including data protection and intellectual property laws.

1.3 Restrictions. Except as expressly permitted in Section 1.2, Customer will not, and will not permit any third party to: (a) make any Licensed Content Item, or any Entity, Snippet, or insight extracted from it, available outside Customer's organization unless separate re-use rights have been obtained; (b) except when expressly permitted by the publisher, use any Licensed Content Item or Output to train, fine-tune, or improve any machine learning or artificial intelligence model, consistent with Section 4 of the General Terms & Conditions; (c) use Licensed Content Items to create a dataset, database, or corpus offered to third parties or used to build a product or service that competes with the Services or with the publisher's own offerings; (d) use Snippets in a manner that substitutes for the purchase of the full Content Item; or (e) exercise TDM/AI Rights in respect of any Content Item that is not a Licensed Content Item.

1.4 Re-Use Rights Not Included. TDM/AI Rights do not include re-use rights (such as sharing, republishing, or adapting a Licensed Content Item). Open access content may be re-used only as its specific Creative Commons or publisher open access license permits. Any other re-use must be cleared separately.

1.5 Fees. TDM/AI Rights are charged per Licensed Content Item as set out in the Agreement, comprising the RS service fee and the applicable publisher TDM/AI Rights fee, plus any applicable taxes. Applicable fees are displayed before Customer confirms an acquisition.

1.6 Availability. TDM/AI Rights are available only for Content Items whose publisher has made such rights available through RS. Availability, scope, and fees are set by each publisher, may vary by Content Item, and may change at any time for future acquisitions. Any such change does not affect TDM/AI Rights already acquired for a Licensed Content Item.

1.7 Use With MCP Integration & Other AI Features. Customer may exercise TDM/AI Rights in respect of Licensed Content Items accessed through the MCP Integration, subject to both these TDM/AI Rights Terms and the Article Galaxy MCP Terms. These TDM/AI Rights Terms constitute the "separately licensed rights such as text and data mining" referred to in Section 1.4 of the Article Galaxy MCP Terms.

1.8 No Warranty; Customer Responsibility. Sections 3b, 4, 6b, and 12 of the General Terms & Conditions apply to Licensed Content Items and to any Outputs generated from them. RS makes no representation regarding the scope or validity of any TDM/AI Rights granted by a rights holder beyond passing through the rights so granted. Customer is solely responsible for its use of Licensed Content Items, Entities, Snippets, insights, and Outputs, and for compliance with these TDM/AI Rights Terms by its authorized users.

1.9 Duration & Survival. TDM/AI Rights in a Licensed Content Item attach to the copy of that Content Item lawfully purchased through the Article Galaxy Services and continue for so long as Customer retains that copy, including after expiration or termination of the Agreement. These TDM/AI Rights Terms, including the restrictions in Sections 1.2 and 1.3, continue to apply to each Licensed Content Item, and to any Entities, Snippets, and insights extracted from it, for so long as Customer retains them. These TDM/AI Rights Terms govern how Customer may use a Licensed Content Item; they do not limit Customer's right to retain Documents lawfully purchased through the Article Galaxy Services.

1.10 Prior TDM/AI Exhibits. Where Customer's Agreement includes a TDM/AI Rights exhibit, that exhibit continues to govern until the end of the Agreement term then in effect, after which these TDM/AI Rights Terms apply in its place, including to Content Items for which TDM/AI Rights were acquired under that exhibit.

1.11 Updates. RS may update these TDM/AI Rights Terms from time to time. The version in effect at the start of Customer's then-current Initial Term or Renewal Term applies for that term. Prior versions are archived on this page.
